EXYON TRADE-IN PROGRAM – TERMS & CONDITIONS

1. Purpose of the Program
1.1 The Exyon Trade-In Program ("Program") enables individuals and businesses ("You") to sell eligible used electronic devices ("Device" or "Devices") to Exyon Pty Ltd ("Exyon", "we", "us", "our") for reuse, resale or environmentally responsible recycling.
1.2 Participation in the Program signifies your agreement to these Terms and Conditions ("Terms").
1.3 Exyon operates as a licensed second-hand dealer under applicable Australian law and complies with the Australian Consumer Law (ACL) and privacy regulations.
2. Acceptance of Terms
2.1 By creating an account, submitting a Device, or otherwise participating in the Program, you agree to these Terms.
2.2 Exyon may amend these Terms at any time by publishing an updated version on our website or emailing registered participants. Continued participation constitutes acceptance of those amendments.
2.3 If you disagree with any revision, you must immediately stop using the Program.
3. Submitting Your Device
3.1 You must complete a trade-in submission through Exyon's online portal and provide accurate information about the Device, including brand, model, condition, and functionality.
3.2 Based on your responses, the portal will generate an Indicative Offer — an estimated trade-in value subject to physical inspection by Exyon.
3.3 The Indicative Offer is not a commitment to purchase until your Device has been received, verified, and approved.
3.4 If your Device is deemed ineligible or has no trade-in value, Exyon may offer to recycle it free of charge using an accredited recycler.
4. Shipping and Delivery
4.1 Once you accept an Indicative Offer, Exyon will email you shipping instructions and, where applicable, a prepaid label.
4.2 You must dispatch your Device within 14 calendar days of receiving those instructions.
4.3 Until received by Exyon or our nominated logistics partner, risk of loss or damage remains with you.
4.4 Before shipping, you must:
- Remove SIM and memory cards;
- Disable any activation or tracking locks (e.g., Find My iPhone, Google Lock, MDM);
- Back up and permanently erase all personal data;
- Ensure you have lawful ownership and authority to sell the Device.
4.5 Devices that arrive activation-locked or incorrectly described may be returned, recycled, or subject to a revised offer at Exyon's discretion.
5. Device Inspection and Offer Adjustment
5.1 All Devices are inspected by Exyon's certified technicians.
5.2 If the inspection confirms your self-assessment, the Indicative Offer becomes final.
5.3 If the Device condition materially differs, Exyon will issue a Revised Offer via email:
- Acceptance: You'll receive payment of the Revised Offer amount.
- Rejection: Exyon will return your Device at no cost or, upon your request, responsibly recycle it.
- No Response: Failure to respond within 7 calendar days will constitute acceptance of the Revised Offer.
5.4 Ownership of the Device transfers to Exyon once payment is issued. From that moment, the Device becomes Exyon's property.
6. Payment
6.1 Exyon offers the following payment methods:
- Direct Bank Transfer (to your nominated account);
- Exyon Store Credit (redeemable at TopTechDeals.com.au);
- Digital Gift Card (e.g., Prezzee or equivalent).
6.2 Payments are typically processed within 3 – 5 business days after final inspection and acceptance.
6.3 Once payment has been made, the transaction is final, and Exyon has no obligation to adjust or cancel it.
6.4 Trade-in values are determined solely by Exyon and may differ from market resale or retail values.
7. Promotional Trade-In Offers
7.1 Exyon may periodically launch promotions or partner-linked offers ("Promotions") that include bonus values or discounts.
7.2 Each Promotion will specify eligibility criteria, payment form, and duration.
7.3 Participation in a Promotion is subject to both these Terms and the additional terms specified in the Promotion notice.
8. Your Warranties
By submitting a Device, you represent and warrant that:
- You are the lawful owner or authorised representative of the Device;
- The Device is not lost, stolen, or under any finance or lease agreement;
- You have provided accurate and complete information;
- All activation locks, corporate controls, or security features are disabled;
- You have removed all data and acknowledge that Exyon will permanently erase any remaining data.
If Exyon is notified that a Device may be stolen or unlawfully obtained, we are legally obliged to suspend processing and may refer the matter to law enforcement.
9. Privacy and Data Security
9.1 Exyon complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
9.2 All personal data is handled according to Exyon's Privacy Policy.
9.3 All Devices accepted by Exyon undergo secure data erasure using certified diagnostic and data-wiping software consistent with ISO and ADISA standards.
9.4 You acknowledge that Exyon cannot recover or return any deleted data once processing begins.
9.5 Exyon may retain transactional and identity information as required by law (e.g., for second-hand dealer records).
10. Indemnity and Liability Protection
10.1 Indemnity: You agree to indemnify and hold harmless Exyon, its directors, officers, employees and agents from all claims, losses, damages, liabilities, costs, and expenses (including legal costs on a full indemnity basis) arising from:
- Any breach of these Terms;
- Any misrepresentation or incorrect information about the Device;
- Any third-party claim relating to ownership, data or condition of the Device; or
- Any illegal, fraudulent or negligent act by you.
10.2 Limitation of Liability: To the maximum extent permitted by law, Exyon's total liability for any claim arising from the Program is limited to the amount paid (or payable) for the Device concerned.
10.3 Exyon is not liable for any indirect, special, consequential or economic loss including loss of profit, revenue, data or opportunity.
10.4 Nothing in these Terms excludes non-excludable rights under the Australian Consumer Law (ACL).
10.5 If a non-excludable warranty applies, Exyon's liability is limited (at its option) to replacement, repair, resupply or refund of the trade-in value.
10.6 Exyon is not responsible for delays or failures caused by events beyond its reasonable control, including shipping delays, network issues or third-party disruptions.
11. Governing Law and Dispute Resolution
11.1 These Terms are governed by the laws of Victoria, Australia.
11.2 Any dispute arising under these Terms must first be addressed through good-faith negotiation or mediation before legal action is initiated.
11.3 Each party submits to the exclusive jurisdiction of the courts of Victoria and any appellate courts thereof.
12. General Provisions
12.1 If any clause is found invalid or unenforceable, the remainder of these Terms continues in full force.
12.2 No waiver by Exyon is effective unless in writing and signed by an authorised officer.
12.3 These Terms constitute the entire agreement between you and Exyon regarding the Trade-In Program and supersede any prior representations or communications.
